Summary

Our Corporate/In House Legal team is actively recruiting for an Associate Counsel to join our team. This position is for an on-site lawyer to support the day-to-day provision and coordination of legal services for the Company. The Associate Counsel will be based at our corporate office in Salisbury, Maryland and will assist with Company legal matters, while practicing the art of \xe2\x80\x9cpreventive law\xe2\x80\x9d to help minimize legal and financial risk to the Company, improve efficiencies and save costs.

This position is based in Salisbury, MD with relocation packages available for eligible candidates.

Principal and Essential Duties & Responsibilities

Assist with matters related to the legal affairs of the Company and its affiliates. Without limiting the generality of the foregoing, such responsibilities will extend to such aspects as directed by the Assistant General Counsel:

• Review, draft and negotiate terms of contracts required for business operations
• Assist, when appropriate, with client legal questions, concerns and service issues related to the Company
• Manage and direct legal administrator as to corporate record keeping including formation, maintenance, qualification and dissolution of corporations and limited liability companies
• Direct legal administrator as to drafting board resolutions, incorporation documents, amendments and bylaws; administration of company stock records and maintaining a capitalization spreadsheet
• Develop and oversee the ongoing successful execution of policies and procedures for the Company and its affiliates
• Work with Assistant General Counsel to proactively and effective manage outside counsel and expenses
• Liaise regularly and effectively with Assistant General Counsel

Minimum Education and Experience

Juris Doctorate (JD) from an accredited law school, plus 3-5 years\' experience in a law firm with a focus on corporate/transactional law; active license to practice law.

• Excellent interpersonal, influencing and negotiation skills
• Demonstrated ability to analyze legal issues in a business context and effectively communicate answers and/or solutions to business partners
• Ability to build productive working relationships and flexibility to work on a variety of projects simultaneously and independently
• Excellent oral and written communication skills

Experience Preferred

5-7+ years of corporate or transactional law experience in a corporate or agency field.

Environmental Factors and Physical Requirements

Position is mostly sedentary but may require occasional moving to other offices or buildings.
