We\'re looking for a Director, Assistant General Counsel or a Senior Director, Associate General Counsel - Corporate (depending on the level of experience) to join Snowflake\'s Corporate Legal team. You will manage a team of 5 and work closely with colleagues across multiple internal functional groups on a wide range of corporate matters, including securities, corporate governance, and equity administration. This role reports to the VP, Deputy General Counsel - Corporate, Trust, and Employment and is based in Dublin, CA. This is an in-person role.

RESPONSIBILITIES :

• Responsible for corporate governance matters, including materials for board and committee meetings, resolutions, and minutes.
• Primary role in the preparation and review of SEC filings and related documents, including current and periodic reports, proxy statements, registration statements and Section 16 filings.
• Draft and review public disclosures and corporate communications, including earnings releases.
• Oversee global employee equity program.
• Provide legal advice and support on other transactions and corporate maintenance activities of the company.
• Help to develop, implement and continually improve company and team processes and procedures.

• JD from an accredited law school, membership in at least one state bar, and ability to practice in California.
• 10+ years of experience preferred, including at least 4 years of corporate and securities work at a major law firm (in-house experience is a plus).
• Excellent management skills and business judgment with a capacity to make decisions and give advice.
• Ability to explain complicated concepts in simple terms.
• Strong organizational skills, flexibility, and ability to thrive in a fast-paced environment.
• Attitude that no project is too big or too small.
• Sense of humor and passion for the job
