Title: Senior Sourcing Counsel
Location: Atlanta, GA (hybrid)
Position Summary
The Senior Sourcing Counsel works with a global and collegial team of attorneys and contract managers and is responsible for drafting, reviewing, and negotiating global procurement contracts for the purchase of software, SaaS, hardware, and services for internal use and resale for NCR\xe2\x80\x99s Banking and T&T business. This position engages in depth with NCR\xe2\x80\x99s Procurement department and the relevant business unit to understand the business requirements and risks and provides legal advice regarding compliance with laws and regulations (including privacy), enforcement of contract provisions, and settlement of contract disputes. The Senior Sourcing Counsel must be able to work under the pressure of deadlines and demands by a variety of business clients.
Key Areas of Responsibility:
Negotiate, draft and review global procurement agreements, working with specialist attorneys, contract managers and subject matter experts as required.
Advise NCR business clients and senior management about contractual risks which create legal and business exposure to NCR. Identify risks, facilitate internal review of issues, and obtain resolution.
Exercise sound judgment in determining when matters require the involvement of other parts of the business or Law Department.
Advise Procurement teams and senior management on contract interpretation and dispute resolution with suppliers up to the point of formal demand or litigation.
Develop and improve procurement contract templates and other contracting tools.
Design and present training to internal clients regarding contracting best practices, risk mitigation, compliance, and other relevant topics relevant to procurement contracting.
Develop and maintain in-depth knowledge of NCR\'s procedures, processes and policies.
Advise business teams with respect to industry legal issues pertaining to procurement contracts and serve as a subject matter expert for clients and other members of the Law Department in these areas.
Participate in Law Department activities including development of best practices and special projects.
Maintain excellent knowledge of commercial contract laws and practices relevant to NCR\xe2\x80\x99s business; Analyze and interpret laws, rulings and regulations that affect the business and provide practical advice to clients.
Basic Qualifications:
Admitted to practice law in the United States for a minimum of 3 years
Minimum 5 years of experience in a major law firm and/or in-house at a multinational company, with focus on commercial contracts, ideally with experience of international contracts
Experience with complex software, SaaS, hardware and services procurement contracts
Excellent written and oral communication skills, with the ability to negotiate internally and externally at high levels
Strong drafting skills and attention to detail
Knowledge of data privacy laws (including GDPR) and cybersecurity
Strong time management skills and ability to work under short deadlines and with minimal supervision; self-sufficient and independent
Proficiency with Microsoft Office programs
Ability to identify legal issues and escalate as appropriate to subject matter experts in the Law Department
Excellent professional judgment, negotiation, communication, and conflict resolution skills
Flexibility and willingness to work on a broad variety of matters in a fast-paced environment
