What You Will Do
Provide day-to-day legal transactional support to bankers, loan operations, credit teams and external counsel with respect to documenting and structuring commercial lending transactions / products. Monitor and keep current on industry trends and legal / regulatory developments impacting commercial lending generally.
Advise and assist centralized loan operations with standardization and negotiation of internally prepared loan documentation. Prepare, maintain and manage up to date form loan documentation libraries and requirements for use internally and by external counsel
Support for:1) Capital markets team with respect to syndicated facilities and loan assignments/participations. 2) Certain treasury management functions, including negotiation of deposit account control agreements. 3) Transactions where Wintrust is the borrower
Assist with loan work-outs, including negotiation of forbearance agreements, and M&A activity relating to portfolio loan purchases and sales
Work with Compliance, Risk, and other relevant internal stakeholders to ensure company policies & requirements are being addressed. Review legal due diligence materials as needed by bankers and credit teams
Assist credit team in reviewing partnership agreements relating to CRA lending based investments
Negotiate customer facing NDAs
Qualifications
JD degree from an accredited law school
License to practice law in Illinois
7 + years of relevant in-house or law firm experience, in financial services, specifically commercial lending
